Terms and Conditions of Use of Moving2italy.io
The website www.moving2italy.io and its corresponding mobile application (hereinafter referred to as the "Site" and "App" or collectively as the "E-Marketplace"), owned by Moving2 Srl, Via Lodovico Il Moro 119, Milan, provide users (hereinafter referred to as "Users") with the opportunity to contact third-party professionals specialized in tax and/or social security matters for consultation.
The Marketplace is subject to these Terms and Conditions of Use (hereinafter referred to as "Conditions" or "T&C"), which the User acknowledges having read and fully accepted.
If you do not agree to these Conditions, you will not be able to use the E-Marketplace or avail yourself of the services offered through it.
Please note that these Conditions only concern the use of the E-Marketplace and do not apply to the services offered by Third-Party Providers, which can be purchased through the E-Marketplace.
Definitions
In order to facilitate a complete understanding and acceptance of the Conditions, the following terms, in singular and plural form, shall have the meanings set forth below:
Purpose
2.1 Moving2 allows, on the one hand, Professionals to provide tax and/or social security consulting services to Users, and on the other hand, interested Users to purchase the aforementioned Services available on the Platform.
2.2 These Conditions exclusively govern the relationship between Moving2 and Users. Through the E-Marketplace, interested Users can request and purchase Services available on the Portal, which will be provided by Professionals selected by Moving2.
2.3 Moving2 is to be understood solely as the technical operator of the Portal. It is not a party to the professional relationship that will be established directly and exclusively between the User and the Professional. Therefore, Moving2 assumes no responsibility for the relationship between the User and the Professional.
2.4 The purchase of Services through the E-Marketplace is subject to the specific sales conditions of each
Registration
3.1 In order to purchase services available on the E-Marketplace, Users must first register by creating their own profile and entering all required data, and fully accepting the privacy policy (available at the following link Privacy Policy of Moving2Italy) and these Terms and Conditions.
3.2 The data entered during the profile creation process may be used by the Owner, in accordance with the privacy policy and the consent provided by the User.
3.3 The account is personal and may not be transferred to third parties. The User is responsible for diligently safeguarding their login credentials. The User undertakes to keep the credentials secret and to ensure that no third party has access to them, as well as to immediately inform the Owner in case of suspected or actual unauthorized use or disclosure.
3.4 The User warrants that the personal information provided during the registration process is complete and accurate and undertakes to hold the Owner harmless and indemnified from any damage, compensation obligation, and/or sanction resulting from and/or in any way connected to the User's violation of the rules on registration to the E-Marketplace or on the preservation of registration credentials.
Account Cancellation and Closure
4.1 Registered Users may, at any time, cease using the Portal, deactivate their account, or request its cancellation through the Site interface or by sending a written communication to the email address [email protected].
4.2 In the event of a User's violation of these Conditions or applicable legal provisions, Moving2 reserves the right to suspend or close the account at any time and without prior notice.
User-Shared Content
5.1 Users may directly share with the Professional the content and information necessary to avail themselves of the Service purchased from the latter.
5.1 Users undertake to share with the Professional material that is not unlawful (i.e., obscene, intimidating, defamatory, pornographic, abusive, or otherwise illegal or infringing on privacy, intellectual property, and/or industrial rights of the Owner and/or third parties), misleading, and that is in no way harmful to the rights of the Owner and/or third parties. Users undertake to share with the Third Party Provider material that does not contain viruses, political propaganda, commercial solicitation, mass emails, or any other form of spamming. In the event of a dispute raised by third parties, Users bear full responsibility and undertake to hold the Owner harmless and indemnified from any damage, loss, or expense.
5.3 Users are, in this sense, the sole guarantors and responsible parties for the correctness, completeness, and lawfulness of the content and their behavior within the Portal.
Intellectual and Industrial Property Rights
6.1 Moving2 is the lawful owner of the Portal, the pages it comprises, information and elements contained in texts, documents, photographs, drawings, graphics, databases, software, logos, trademarks, trade names, or other signs protected by intellectual or industrial property rights.
6.2 All Content present on the Portal such as, by way of example, texts, documents, trademarks, logos, images, graphics, their arrangement, and their adaptations are protected by copyright law and by legislation protecting trademarks. The Site may also contain images, documents, logos, and trademarks of third parties that have expressly authorized the Owner to publish them. Without prejudice to strictly personal uses, it is not permitted to copy, alter, distribute, publish, or use the Content without the specific authorization of the Owner.
Exclusion of Warranty and Limitation of Liability
7.1 Moving2 endeavors to ensure that the Portal is continuously available.
7.2 Moving2 does not guarantee that the Portal meets all User requirements, nor the continuity of access or the correct display of elements and information contained on the Portal, which may be impeded or interrupted by malfunctions, delays, or factors entirely unrelated to its will and/or control.
7.3 Except in cases of willful misconduct or gross negligence, Moving2 assumes no liability for damages or losses resulting from: (i) malfunctions, delays in system operation, interruptions, malfunctions, or any other cause beyond its control; (ii) the use of illegal programs such as viruses and/or bugs; (iii) incorrect or unsuitable use of the Portal by Users or third parties; (iv) any fraudulent and unlawful use that may be made by third parties of credit cards and other means of payment.
7.4 Moving2 assumes no responsibility regarding the information and services provided, through the E-Marketplace, by the Professionals. In particular, Moving2 shall not be liable: (i) for damages, losses, and costs resulting from the purchase of Services through the E-Marketplace; (ii) for any loss of business opportunity and/or any other loss, even indirect, suffered by the User that is not a direct consequence of the breach of this contract by the Owner.
7.5 In no event shall Moving2 be liable for an amount exceeding twice the cost paid by the User. If the User is not satisfied with the Portal or does not intend to accept these Conditions, the cessation of Portal Use shall be the exclusive remedy available against the Owner.
Force Majeure
8.1 The Owner cannot be held responsible for the non-performance or delay in performing its obligations, resulting from events of force majeure or, in any case, unforeseen and unforeseeable events and, in any case, independent of its will.
8.2 Performance of the Owner's obligations shall be suspended for the entire period during which force majeure events occur and, in any case, independent of its will.
8.3 The Owner undertakes to take any action within its power to identify solutions allowing the proper performance of its obligations despite the persistence of force majeure events.
Links to Third-Party Sites
The Portal may contain links to third-party websites/applications. The Owner exercises no control over them and, therefore, is in no way responsible for their contents. Some of these links may refer to third-party websites/applications that provide services through the Portal. In these cases, the specific terms and conditions for the use of the website/application and the enjoyment of the service prepared by third parties shall apply, for which the Owner assumes no responsibility.
Privacy
10.1 The protection and processing of personal data will take place in accordance with the Privacy Policy, available at the following page Privacy Policy of Moving2Italy
10.2 The Privacy Policy is an integral part of these Conditions.
Modifications
11.1 These Conditions may be modified at any time by providing appropriate notice to Users through the same E-Marketplace. All such modifications shall be effective from the time of their publication on the E-Marketplace.
11.2 The Owner reserves the right to vary at its discretion and at any time - even after the User's registration - the graphical interface of the Portal, the Content, and their organization, as well as any other aspect characterizing the functionality and management thereof, by communicating to the User, if necessary, the relevant instructions.
Applicable Law and Competent Court
12.1 These Terms of Use constitute the entire agreement between the Owner and the User. They are subject to Italian law and shall apply in accordance with its validity, interpretation, and execution.
12.2 For Non-Consumer Users, any dispute relating to the application, execution, and interpretation of these Conditions shall be referred to the Court of the place where the Owner is located (Tribunal of Milan).
12.3 For Consumer Users, any dispute relating to the application, execution, and interpretation of these Conditions shall be referred to the Consumer Court.
12.4 Without prejudice to the application to Consumer Users, who do not have their habitual residence in Italy, of any more favorable and non-derogable provisions provided for by the law of the country where they have their habitual residence, in particular with regard to the deadline for exercising the right of withdrawal, the deadline for returning Services, in case of exercising such right, the methods and formalities for communicating the same, and the legal warranty of conformity.
Online Dispute Resolution for Consumer Users
Consumer Users residing in Europe acknowledge the online platform providing an alternative dispute resolution tool. Such tool can be used by Consumer Users to resolve, out of court, any dispute arising from or related to contracts for the sale of goods and the provision of services concluded online. Therefore, in order to resolve any dispute arising from the contract concluded online, the User may use the specific platform available at the following link ec.europa.eu/consumers/odr.
